Terms & Services

Last updated: October 1, 2026

These Terms and Services ("Terms") govern your access to and use of the website located at marketingdevelopmentgroup.org (the "Site") and any related digital properties operated by Marketing Development Group ("MDG," "we," "us," or "our"). By accessing the Site, submitting forms, subscribing to communications, or engaging our marketing services, you agree to be bound by these Terms. If you do not agree, do not use the Site or our services.

1. Eligibility and Acceptance

You represent that you are at least eighteen years of age and have the legal capacity to enter into binding agreements. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms. We may update these Terms from time to time; the "Last updated" date above indicates the current version. Material changes will be posted on this page. Continued use after changes constitutes acceptance.

2. Nature of Services

MDG provides professional digital marketing services including search engine optimization, content strategy, paid media management, social media marketing, email marketing, analytics, conversion optimization, and related consulting. Specific deliverables, timelines, fees, and performance expectations are defined in separate statements of work, proposals, or service agreements ("Service Agreements") executed between MDG and the client. In the event of conflict between these Terms and a signed Service Agreement, the Service Agreement controls for that engagement.

Marketing outcomes depend on numerous factors outside our control, including market conditions, competition, platform policy changes, product quality, pricing, sales execution, and technical infrastructure. Unless expressly guaranteed in writing, we do not warrant specific rankings, traffic levels, lead volumes, revenue results, or return on ad spend.

3. Website Use and License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful personal or internal business purposes. You may not scrape, mirror, frame, or systematically download Site content; interfere with security features; attempt unauthorized access; use automated means to harvest data; or use the Site to distribute malware or unsolicited communications. All content on the Site—including text, graphics, logos, layouts, and software—is owned by MDG or licensors and protected by intellectual property laws.

4. User Submissions and Forms

When you submit information through contact forms, subscription forms, or other inputs on the Site, you represent that the information is accurate and that you have the right to provide it. Submissions are handled as described in our Privacy Policy. Form submissions on this static demonstration Site are validated client-side only; production deployments may integrate server-side processing subject to separate notices.

You agree not to submit unlawful, defamatory, infringing, or confidential third-party information without authorization. We may remove or disregard submissions that violate these Terms or applicable law.

5. Client Responsibilities

Clients engaging MDG for services agree to provide timely access to accounts, analytics, brand assets, legal approvals, and stakeholder feedback necessary for performance. Delays in client approvals or missing access may shift timelines without constituting breach by MDG. Clients are responsible for accuracy of product claims, regulatory compliance of advertised offers, and permissions for use of trademarks, testimonials, and user-generated content supplied to MDG.

Clients must maintain appropriate security on their platforms. MDG is not liable for compromises of client systems unrelated to our contracted work. Clients should use strong authentication on ad platforms, CMS accounts, and email service providers shared with our team.

6. Fees, Billing, and Taxes

Fees for services are specified in Service Agreements. Unless otherwise stated, invoices are due net fifteen days. Late payments may incur suspension of work and interest at the lesser of one and one-half percent per month or the maximum permitted by law. Client is responsible for applicable taxes excluding taxes based on MDG's income. Third-party pass-through costs—such as media spend, software licenses, stock assets, or production vendors—are billed separately when applicable.

7. Intellectual Property

Unless otherwise agreed in writing, MDG retains ownership of pre-existing methodologies, templates, tools, and know-how. Upon full payment, clients receive rights to final deliverables created specifically for them as defined in the Service Agreement—such as custom copy, designs, and campaign configurations—subject to embedded third-party licenses. MDG may display non-confidential work in portfolios and case studies unless a mutual NDA restricts such use.

Client grants MDG a license to use client trademarks and materials solely to perform services and showcase results as permitted. Either party may request removal of portfolio items with reasonable notice.

8. Confidentiality

Each party may receive non-public information from the other. The receiving party will use confidential information only to fulfill obligations under the engagement and will protect it with reasonable care. Confidentiality obligations do not apply to information that is public without breach, independently developed, or rightfully received from a third party. Either party may disclose confidential information when required by law, with notice when legally permissible.

9. Third-Party Platforms and Tools

Digital marketing relies on third-party platforms including search engines, social networks, analytics providers, and advertising networks. Those platforms have independent terms and policies. MDG is not responsible for platform outages, account suspensions, algorithm updates, or policy enforcement actions directed at client accounts. We will use commercially reasonable efforts to advise on compliance best practices.

10. Disclaimers

THE SITE AND ANY INFORMATION PROVIDED THROUGH IT ARE OFFERED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Educational blog posts, guides, and marketing materials on the Site are general in nature and not legal, financial, or professional advice specific to your circumstances.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MDG AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THESE TERMS, THE SITE, OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO SERVICES OR THE SITE WILL NOT EXCEED THE AMOUNTS PAID BY CLIENT TO MDG FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT.

Some jurisdictions do not allow certain limitations; in those cases, limitations apply to the fullest extent permitted.

12. Indemnification

You agree to indemnify and hold harmless MDG from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, violation of these Terms, infringement of third-party rights, or inaccurate information you provide—except to the extent caused by MDG's gross negligence or willful misconduct.

13. Term and Termination

Service engagements continue for the term specified in the Service Agreement. Either party may terminate for material breach if not cured within thirty days of written notice, or immediately for insolvency or unlawful conduct. Upon termination, client pays for work performed through the effective date. Provisions that by nature should survive— including payment obligations, confidentiality, intellectual property, disclaimers, and limitations of liability—will survive termination.

We may suspend or terminate Site access for conduct that threatens security or violates these Terms.

14. Communications and Marketing

By subscribing through our Subscribe page, you consent to receive email communications as described at signup. You may withdraw consent using the Unsubscribe page. Transactional messages related to active projects may continue where necessary.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where mandatory consumer protections apply in your jurisdiction. Parties agree to attempt good-faith negotiation before pursuing formal remedies. Except where prohibited, disputes will be resolved in the state or federal courts located in Delaware, and each party consents to personal jurisdiction there.

16. General Provisions

These Terms, together with the Privacy Policy and any applicable Service Agreement, constitute the entire agreement regarding Site use unless otherwise specified. If any provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign in connection with a merger or sale of assets. Notices may be provided via email or posting on the Site.

17. Contact

Questions about these Terms may be submitted through our Contact Us form. We will route your message to the appropriate team member.
